Legal Entity & Structure

Calamus operates through one or more legally formed entities, structured in accordance with applicable jurisdictional requirements. Entity documentation, organizational charts, and governing instruments are available for review during onboarding or qualification.

Regulatory & Offering Framework

Certain Calamus-related offerings, if and when made, are structured pursuant to applicable private placement exemptions, including Regulation D of the U.S. Securities Act or equivalent frameworks in other jurisdictions, where applicable.

Regulatory filings (such as Form D) are submitted to the appropriate authorities where required by law. Public regulatory databases may be referenced where applicable.

KYC / AML & Sanctions Screening

Access to Calamus platforms and related structures is subject to know-your-customer (KYC), anti-money laundering (AML), and sanctions screening procedures, conducted in accordance with applicable law and jurisdictional requirements.

These procedures may involve third-party compliance service providers. Detailed policies and internal controls are provided during onboarding.

Independent Reviews & Attestations

Selected technical components, smart contracts, and financial or operational processes have undergone independent third-party review. The scope, timing, and conclusions of such reviews vary by component and phase and do not eliminate risk.

Where applicable, summaries or attestations may be made available to qualified participants during the diligence or onboarding process.

Infrastructure & Service Providers

Calamus utilizes third-party infrastructure and professional service providers for areas such as cloud hosting, data analytics, compliance screening, legal structuring, and custody-related functions, subject to contractual confidentiality and jurisdictional requirements.

Governance & Risk Management

Calamus follows a risk-first governance philosophy. AI-assisted systems are used as analytical support tools and do not operate autonomously. All material decisions remain subject to human oversight, defined governance processes, and applicable legal constraints.
